NOW, THEREFORE, in consideration of the mutual covenants herein, the parties agree as follows:

1. Appointment and Scope
   1. The Client hereby appoints SLP Company (UK) Ltd t/a SupportedLivingProperty.co.uk as its exclusive introduction agent under the Silver package for the duration of this Agreement.
   2. The Agent will use commercially reasonable efforts to introduce the Client to Registered Providers who have stated interest or requirements matching the Client's property.
   3. The Agent acts solely as an introducing agent and does not enter into contracts or make binding commitments on behalf of either party.
2. Exclusivity and Non-Circumvention
   1. The Client agrees that during the term of this Agreement and for six (6) months following its expiry or termination, neither the Client nor any affiliates, subsidiaries, agents, or assigns will directly or indirectly negotiate, enter into, or finalise any rental, lease, or management agreement with any Registered Provider introduced by the Agent, except via the Agent's involvement.
   2. The Client will not circumvent, bypass, or avoid the Agent's role, nor use any third party to do so, with respect to any Registered Provider or agreement relating to property introduced under this Silver package.
   3. Breach of this clause entitles the Agent to receive the full introduction fee (see Section 4), even if the Client proceeds without Agent involvement.
3. Term and Termination
   1. This Agreement commences on the Effective Date and continues for an initial term of six (6) months, automatically renewing for further three (3)-month terms unless either party gives thirty (30) days' prior written notice of non-renewal.
   2. Either party may terminate with immediate effect for material breach, subject to fourteen (14) days' written notice and opportunity to cure.
   3. All accrued obligations, including fee entitlements for introductions made during the term, survive termination or expiration.
4. Fees and Payment
   1. The Client shall pay the Agent a fixed fee under the Silver package of Seven Thousand Four Hundred Ninety-Nine Pounds Sterling (£7,499 GBP) for each property where a Registered Provider introduced by the Agent enters into a rental or lease agreement with the Client.
   2. An advance, non-refundable payment of One Thousand Pounds (£1,000 GBP) is due upon signing and is credited against the total fee due on completion of the agreement between Client and Registered Provider.
   3. If a transaction does not complete for any reason originating from the Client or Registered Provider, the advance is retained by the Agent as compensation.
   4. Introduction fees remain payable if a rental or lease agreement is concluded within six (6) months of expiry or termination for any Registered Provider introduced by the Agent during the term.
   5. Invoices are payable in full within fifteen (15) days of issue; late payments incur interest at 8% per annum.
5. Cancellation and Recovery of Expenses
   1. If the Client withdraws or cancels after introductions have commenced but before an agreement is completed, the Client shall reimburse the Agent for all reasonable and evidenced costs relating to viewings, negotiations, correspondence, travel, and any non-refundable payments to third parties made on the Client's behalf.
   2. The Agent will provide an itemised expense statement, payable by the Client within fifteen (15) days.
6. Agent's Responsibilities
   1. The Agent will provide introduction services as specified, maintaining reasonable efforts and good faith.
   2. The Agent will treat all Client information, property details, and criteria as confidential, disclosing only with written consent or as required by law.
   3. The Agent does not warrant transaction completion nor the accuracy, suitability, or compliance of any Registered Provider or property arrangements and advises the Client to conduct necessary checks and due diligence.
7. Client's Responsibilities
   1. The Client agrees to provide timely and accurate information regarding property criteria and respond promptly to Agent and Registered Provider requests for information and site access.
   2. The Client will not directly or indirectly attempt to bypass Agent's introduction, nor will it seek to engage a Registered Provider introduced by the Agent without maintaining Agent's role as described in this Agreement.
8. Confidentiality
   1. Both parties agree to maintain confidentiality of all proprietary, commercial, and personal information exchanged in relation to this Agreement for two (2) years after termination.
   2. Exceptions apply where required by law or by prior written agreement of the originator.
9. Indemnification
   1. Each party will indemnify the other for any direct loss or expense arising from breach, negligence, or misconduct under this Agreement.
   2. The Client specifically indemnifies the Agent for any claim arising due to non-disclosure of material facts or bad faith.
10. Governing Law and Jurisdiction
    1. This Agreement is governed by the laws of England and Wales.
    2. Disputes shall be resolved in the exclusive jurisdiction of English courts.
11. Miscellaneous
    1. This Agreement is the entire contract between the parties regarding introductions under the Silver package.
    2. No amendment is valid unless in writing and signed by both parties.
    3. Neither party may assign rights without the other's written consent, except to a successor entity.
    4. If any provision is held invalid, the remainder of the Agreement remains in effect.
    5. Time is of the essence for all obligations.
